Terms of Service (RavenLedger)

1) Acceptance of Terms
By accessing or using RavenLedger (the "Service"), you agree to these Terms of Service ("Terms"). If you use the Service on behalf of an entity, you represent that you have authority to bind that entity.
2) The Service
RavenLedger is a cloud-based ERP software service (SaaS). Features may evolve over time.
3) Eligibility and Account Registration
You must provide accurate account information and keep it updated. You are responsible for maintaining login credential confidentiality and for all activity under your account.
4) Subscription, Billing, and Auto-Renewal
RavenLedger is offered as a recurring subscription. Subscriptions renew automatically unless canceled before renewal.
5) Payment Processing (Paddle)
Payments for RavenLedger are processed by Paddle, which acts as merchant of record for purchases made through Paddle checkout. By completing a purchase, you also agree to the applicable Paddle checkout terms and policies presented at checkout.
For purchases processed by Paddle, the customer's billing relationship for the transaction is with Paddle as merchant of record.
6) Plan Pricing and Usage
- USD 20/month for up to 500 GB database storage per tenant
- USD 0.05 per GB/month for usage above 500 GB
Usage is measured using RavenLedger billing metrics.
7) Trials, Discounts, and Promotions
Trial offers and promotions may be available from time to time and may be changed or withdrawn at our discretion.
8) Cancellation and Termination by Customer
You may cancel through the Paddle customer portal or the subscription management link provided in your order email. Cancellation stops future renewals; access generally continues until the end of your current paid billing period.
9) Suspension and Termination by RavenLedger
We may suspend or terminate access for overdue payment, breach of terms, legal requirements, or security/operational risk.
10) Customer Data
You retain ownership of your data. You grant RavenLedger a limited license to host and process data as necessary to provide and secure the service.
11) Data Retention and Deletion
Data retention after subscription end is governed by the Refund Policy and Data Retention Policy.
12) Security and Backups
We use commercially reasonable safeguards. No system is fully secure. You are responsible for your own export and backup practices where required.
13) Acceptable Use / Prohibited Conduct
You must not use the service for unlawful activity, malware distribution, unauthorized access attempts, reverse engineering, or abusive usage that degrades service quality.
14) Fair Use and Service Protection
We may apply reasonable controls (including throttling or temporary restrictions) when usage creates abuse, security, or platform stability risk.
15) Third-Party Services
We may integrate third-party providers. We are not responsible for their independent systems, policies, or outages.
16) No Professional Advice
RavenLedger is software, not legal, tax, accounting, payroll compliance, or regulatory advice.
17) Intellectual Property
RavenLedger software, design, branding, and content are owned by RavenLedger or its licensors.
18) Disclaimers
The service is provided "as is" and "as available," without guarantees of uninterrupted or error-free operation.
19) Limitation of Liability
To the maximum extent permitted by law, RavenLedger is not liable for indirect, incidental, special, consequential, or punitive damages. Total aggregate liability is limited to fees paid in the three (3) months prior to the event giving rise to the claim.
20) Indemnity
You agree to indemnify and hold harmless RavenLedger and its owner/operator against claims arising from your use, data, legal violations, or breach of these terms.
21) Force Majeure
We are not liable for failure or delay caused by events beyond reasonable control.
22) Changes to Terms
We may update these terms from time to time. Continued use after updates constitutes acceptance.
23) Governing Law and Jurisdiction
These terms are governed by the laws of Pakistan. Courts at Lahore have jurisdiction, subject to mandatory law.
24) Miscellaneous
If any part is unenforceable, the remainder continues in effect. These terms and referenced policies form the full agreement.
